Old Bridlingtonian Club Rules
Approved at the A.G.M. held on 8th December 2007
Definitions
- (a) The term the “School” shall mean the currently named “Bridlington School Sports College”, its successors and either of its former constituents, namely Bridlington School and Bridlington High School for Girls.
- (b) The term “Member(s) of Staff” shall mean teachers, teaching assistants and support staff employed at the School and Officers of the School Combined Cadet Force.
1. Name, Membership, Aims and Objectives
- 1. (a) The Club shall be called the “Old Bridlingtonian Club” hereinafter referred to as the “Club” and shall consist of a President, a President-Elect, Vice-Presidents, Honorary Members, Life Members and Subscribing Members.
- 1. (b) The aims of the Club are:
- (i) To facilitate, encourage, maintain and promote communication among past students and both past and present Members of Staff of the School.
- (ii) To support the School whenever possible.
- 1. (c) The objectives of the Club are:
- (i) To circulate to members an annual “Chronicle”.
- (ii) To circulate to members from time to time a “Register of Members”
- (iii) To organise Annual Reunions in Bridlington.
- (iv) To support Branch reunions in other areas.
- (v) To maintain and foster good and supportive relations with the School.
2. President, President-Elect and Chairman
- 2.(a) The President and any President-Elect shall be elected annually at the Annual General Meeting (“A.G.M.”) from the Vice-Presidents, Honorary Members or Subscribing Members of the Club. The President-Elect shall become the President of the Club at the next A.G.M. after being elected.
- 2.(b) Any nomination for President-Elect must be with the consent of any nominee and shall be made in writing to the Secretary of the Club at least twenty-eight days prior to the A.G.M., duly proposed and seconded. If no nomination has been received by the Secretary within the stated period then, and only then, nominations can be accepted from the floor, provided always that a nominee has consented to stand for such office.
- 2.(c) The Chairman shall be elected (by the casting of votes by members of the General Committee) from among the Past Presidents, Officers and Committee Members of the Club at the first meeting of the General Committee after each A.G.M. until the first meeting of the General Committee after the next General Meeting. The Chairman may be re-elected on subsequent occasions after first being elected. The Chairman shall take the Chair at any General Meeting or General Committee Meeting. The Chairman shall not vote unless it is to exercise the casting vote. In the absence of the elected Chairman, The Officers and Committee members shall have the power to appoint a replacement for that meeting only.
3. Officers of the Club
- 3. The Officers of the Club shall consist of a Secretary, Assistant Secretary, Treasurer, Membership Secretary, Subscription Secretary, Magazine Editor, School Liaison Officer, Marketing Officer, Golf Competition Secretary, Archivist, a Senior present Member of the School Staff and such other officers as and when required by the General Committee, who shall be nominated at the A.G.M. and elected by a majority of those Members present.
4. Honorary Examiners of Accounts
- 4. Honorary Examiners shall be appointed at the A.G.M. If an Examiner is appointed who is not a member of the Club, then that Examiner must be suitably professionally qualified.
5. Honorary Members
- 5. Any Member of Staff shall be eligible to be invited to be an Honorary Member. Honorary Membership shall cease if the Member of Staff leaves employment at the School. At this point Subscribing Membership shall become available, subject to payment of the Annual Subscription.
6. Vice-Presidents
- 6. Members of Staff at the School who have completed at least seven years’ service shall be eligible to be nominated as Vice-Presidents at any A.G.M. by the General Committee, provided they shall have, in the opinion of the General Committee, shown an active commitment to the Club. Such Members of Staff shall continue to hold the position of Vice-President, even if they leave employment at the School.
7. Subscribing Membership
- 7. Past students and past Members of Staff of the School shall be eligible for Subscribing Membership of the Club. Other special cases may be considered.
The purchase of Life Membership is no longer an option.
Those members of the club recorded as life members in the Register of Members of 1968 remain Life Members of the Club, are entitled to attend all functions of the Club and entitled to vote at the A.G.M. “OB” the Chronicle of the Club will not be sent to Life Members. Other communications may be sent.
8. Subscriptions
- 8.(a) Subscribing Members shall pay an annual subscription, preferably by Bankers Order, on the first day of November each year. The amount of the subscription shall be determined by the General Committee and approved by a majority of Members at an A.G.M.
- 8.(b) Any Subscribing Member failing to pay the appropriate annual subscription on the due date shall be notified by the Subscription Secretary that payment should be made within two calendar months and if the subscription still remains unpaid the Subscription Secretary shall send a second written notice requiring payment to be made within one calendar month and if no payment is received the General Committee shall have the power to remove the Member’s name from the Membership Register until such time as the appropriate subscription has been paid.
9. Management of the Club
- 9.(a) The property and management of the Club shall be vested in the General Committee consisting of the President, the President-Elect, the Officers of the Club and the immediate Past President, together with six persons who shall be either Vice-Presidents or Members of the Club.
- 9.(b) The General Committee shall nominate and appoint Trustees who shall respectively hold office until death or resignation unless removed from office by resolution of the General Committee. The number of trustees shall be not more than four nor fewer than two.
The Trustees shall administer such part of the Funds of the Club, as may from time to time be transferred to them by the General Committee, in accordance with the Trust Deed dated 5th day of December 1964. Conclusive evidence of General Committee resolutions, transfers or directives shall be an entry in the minutes of the General Committee.
In the event of the Club becoming defunct, the Trustees shall be responsible for ensuring that any assets remaining at that point are transferred to the safekeeping of the “Trustees of the Charitable Foundation of Bridlington School”. These Trustees were formerly known as the “Foundation Governors of the School” and that, in the future, they may become known by another title. - 9.(c) Past Presidents shall be entitled to attend meetings of the General Committee but shall not be entitled to vote.
- 9.(d) The General Committee shall have the power to request any member to resign, or to terminate any membership without explanation, but for the purpose of this rule, a vote in favour of the termination by no fewer than three quarters of the whole General Committee shall be necessary. No person, whose membership has been terminated under this rule, shall be introduced by any other member as a visitor to any function organised by the Club.
10. Annual General Meeting
- 10.(a) The A.G.M. shall be held in December on a date to be determined by the General Committee giving a minimum of twenty-eight days’ notice to all members.
- 10.(b) The election of the President, President-Elect, other Officers of the Club and the other members of the General Committee shall take place at the A.G.M.
- 10.(c) The Secretary shall provide a record of attendance at all General Committee Meetings.
- 10.(d) The Treasurer and the Trustees shall submit the statement of accounts, duly examined by the Honorary Examiner(s), for the preceding year up to 31st October.
- 10.(e) Members present at the A.G.M. shall have power to set aside any portion of Club funds for the benefit of the School.
- 10.(f) Any motion shall be submitted to the Secretary in writing fourteen days before the date of the meeting and shall be duly seconded.
11. Special General Meeting
- 11. A Special General Meeting of the Club shall be convened by the Secretary by giving fourteen days’ notice to all members upon the written demand of twelve Subscribing Members. The notice convening the meeting shall state the business for which the meeting is called and only that business shall be transacted.
12. General Committee Meetings
- 12.(a) Meetings shall be convened by the Secretary upon the giving of fourteen days’ notice wherever possible.
- 12.(b) A quorum shall be seven members of the General Committee.
- 12.(c) The General Committee shall have the power to co-opt for advisory purposes or for assistance with the running of the Club any person it should deem necessary. Such persons shall not have a vote.
- 12.(d) The General Committee may appoint as many sub-Committees as is deemed necessary.
13. Alteration, Amendment or Revocation of Rules
- 13. These Rules may be added to, revoked or amended only at the A.G.M., provided that the motion is duly moved and seconded in accordance with Rule 10f and subsequently carried by a majority of votes cast by Members present.
